General Provisions (Acceptance of the Offer)

This document is an official, public and irrevocable offer (Offer) of the Public Foundation for the Development of Crypto Infrastructure and Digital Economy (PF for the Development of Crypto Infrastructure and Digital Economy, also known as AIDE, TIN 02105202510456), hereinafter referred to as the “Fund,” represented by the Director Sadykov Bekbolot Erkinovich, acting on the basis of the Charter, to conclude a Donation Agreement (transfer of a voluntary contribution) on the terms and conditions set out below.

The Offer is addressed to any individual or legal entity (the “Donor”) who wishes to make a voluntary contribution (Donation) to the Foundation.

Acceptance of the offer. Full and unconditional acceptance (Acceptance) of the terms of this Offer is considered to be the Donor’s voluntary contribution (transfer of funds or transfer of property) in favor of the Fund to any of its details specified in Section 4 of this Agreement, or through any payment systems used by the Foundation. From the moment of Acceptance, this Agreement is considered concluded.

The Foundation is a non-membership non-profit organization and uses the proceeds to finance programs and projects that meet its statutory goals.

Subject of the Agreement

The Donor, as a voluntary contribution (donation), transfers money or property to the Fund free of charge (“Contribution”). The Foundation accepts the Contribution, which becomes the property of the Foundation, and undertakes to use it to achieve its statutory goals and objectives. Purposes of the Contribution: The funds are used to promote the development, implementation and use of modern digital technologies in the Kyrgyz Republic, including blockchain and cryptocurrency infrastructure, as well as to finance the programs and projects of the Fund. The Donor independently determines the amount and form of the Contribution.

Warranties, Rights and Obligations of the Parties

Warranties and limitations:

The donor does not acquire any property rights to the property of the Foundation and has no right to demand the return of the transferred Contribution. The donor is not responsible for the obligations of the Foundation, and the Foundation is responsible for its obligations with all its separate property. The Foundation undertakes to use the Contribution exclusively for statutory purposes.

Rights and Obligations:

The Fund undertakes to ensure the openness of information on receipts and expenditures of funds in accordance with the legislation of the Kyrgyz Republic. The Foundation has the right not to inform the Donor about the fact of Acceptance, except for cases when the Donor has requested information about the receipt of the Contribution.

Final Provisions

This Agreement comes into force from the moment of Acceptance of the Offer by the Donor and is valid until the Foundation fully achieves its statutory goals. Disputes arising between the Parties shall be resolved through negotiations, and in case of failure to reach an agreement, in court established by the legislation of the Kyrgyz Republic.

The Fund may voluntarily resolve donor claims in a pre-trial manner in accordance with the principles of good faith and transparency accepted in international practice.

The Foundation accepts donations only from legal sources and, if necessary, may request from the donor supporting documents proving the identity and origin of funds, to comply with the requirements of the legislation of the Kyrgyz Republic and international standards in the field of AML/CFT (AML).

The Foundation undertakes not to disclose the personal data of donors, except in cases expressly provided for by law or with their written consent.

The purpose of payment when making a Contribution must contain a sign of “voluntary contribution/donation.”
